Krani.ai Terms of Service
Last updated: 19 October 2026
These Terms of Service ("Terms") are a legally binding agreement between CSV Ventures Sdn. Bhd. (Registration No. 202501005320 (1606734-H)), a company incorporated in Malaysia with its registered address at 1-1, Jalan 26/70A, Desa Sri Hartamas, 50480 Kuala Lumpur ("CSV Ventures", "we", "us", "our"), and the organisation that registers for or uses Krani.ai ("Customer", "you", "your"). They govern your access to and use of the Krani.ai platform, website, applications, integrations and related services (the "Service").
PLEASE READ THESE TERMS CAREFULLY. BY CLICKING "I AGREE", CREATING AN ACCOUNT OR USING THE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS. SECTION 8 CONTAINS IMPORTANT TERMS ABOUT THE LIMITATIONS OF ARTIFICIAL INTELLIGENCE AND YOUR RESPONSIBILITY TO REVIEW ALL OUTPUT. SECTIONS 14 AND 15 LIMIT OUR LIABILITY TO YOU.
1. Eligibility and acceptance
1.1 Business use only. The Service is designed for accounting firms, bookkeepers and businesses and is provided solely for business and professional purposes. It is not offered to consumers, and you confirm that you are not acquiring the Service for personal, domestic or household purposes.
1.2 Age. You must be at least 18 years old to use the Service.
1.3 Authority. If you register on behalf of a company, firm, partnership or other organisation, you represent and warrant that you are authorised to bind that organisation to these Terms, and "Customer" refers to that organisation. If you lack that authority, you must not accept these Terms or use the Service.
1.4 Agreement. These Terms, together with our Privacy Policy, the plan and pricing details published at krani.ai that you select (the "Plan"), and any order form or written agreement signed by us, form the entire agreement between you and us (the "Agreement"). If there is a conflict, a signed order form or written agreement prevails over these Terms, and these Terms prevail over the Privacy Policy and the published Plan details.
1.5 Changes to these Terms. We may amend these Terms from time to time. We will give you at least 30 days' notice of material changes by email or a notice within the Service. Changes take effect on the date stated in the notice. If you do not agree to a change, you may terminate the Agreement before that date by notice to us and we will refund any prepaid Fees for the unused portion of your then-current Subscription Term. Your continued use of the Service after the effective date constitutes acceptance of the amended Terms.
2. Definitions
In these Terms:
- "AI Features" means any feature of the Service that uses optical character recognition, machine learning, large language models or other artificial-intelligence technology, including document extraction, bank statement extraction, transaction matching, account categorisation and entry suggestions.
- "Customer Content" means all documents, files, images, data and other materials that you or your Users upload to, submit to or make available through the Service, including invoices, receipts, bank statements and data imported from Third-Party Services.
- "End-Client" means a client of the Customer whose documents or data are included in Customer Content.
- "Fees" means the subscription and other charges payable for the Service under your Plan.
- "Output" means the data, fields, transactions, categorisations, journal entries, reconciliations, reports and other results generated by the Service from Customer Content, including by AI Features.
- "PDPA" means the Personal Data Protection Act 2010 of Malaysia, as amended, and the regulations, standards, codes and guidelines issued under it. "Personal data", "processing", "data user", "data processor", "data subject" and "sensitive personal data" have the meanings given in the PDPA.
- "Subscription Term" means the monthly or annual period for which you have paid Fees, and each renewal period.
- "Third-Party Service" means any software, platform or service not provided by us, including accounting software that you connect to the Service.
- "User" means any individual you authorise to access the Service under your account, including your employees, contractors and agents.
3. Accounts, Users and security
3.1 Registration. You must provide accurate, complete and current information when registering and keep it up to date. We may refuse registration or verify your identity or business registration at our discretion.
3.2 Users and seats. You may allow Users to access the Service up to the number of seats included in your Plan. You are responsible for all Users and for all activity under your account, whether or not authorised by you. You must ensure that each User complies with these Terms, and you must promptly remove access for any User who leaves your organisation or no longer requires access.
3.3 Credentials. You must keep all login credentials confidential and must not share a single login between multiple individuals. You must enable multi-factor authentication where we offer it. You must notify us immediately at it@krani.ai if you become aware of any unauthorised use of your account or any other security breach.
3.4 Account administrator. The individual who creates the account, or whom you later designate, is the account administrator and may manage Users, billing and settings. We are entitled to act on the instructions of the account administrator and are not responsible for disputes within your organisation about control of the account.
3.5 Your systems. You are responsible for obtaining and maintaining the hardware, software, internet connection and Third-Party Service subscriptions needed to use the Service.
4. Subscriptions, fees and payment
4.1 Plans. The Service is offered on prepaid monthly and annual subscription Plans. The features, usage limits (including the number of documents, pages, transactions or Users) and Fees for each Plan are set out at krani.ai at the time you subscribe or renew, and are incorporated into these Terms.
4.2 Payment. Fees are payable in advance in Malaysian Ringgit (unless otherwise stated) by credit or debit card or other payment methods we make available through our payment processor, Stripe. You authorise us and Stripe to charge your payment method for all Fees when due. You must keep a valid payment method on file for as long as you have an active subscription.
4.3 Automatic renewal. Your subscription renews automatically at the end of each Subscription Term for a further term of the same length, and your payment method will be charged the then-current Fees, unless you cancel before the renewal date through your account settings or by written notice to us. Cancellation takes effect at the end of the current Subscription Term; you will retain access until then.
4.4 Usage limits and overages. If you exceed the usage limits of your Plan, we may, at our option, (a) charge overage Fees at the rates published for your Plan, (b) require you to upgrade to a higher Plan, or (c) suspend processing of additional documents until the next billing cycle or until you upgrade.
4.5 Upgrades and downgrades. You may upgrade your Plan at any time; the additional Fees will be charged on a pro-rated basis for the remainder of the current Subscription Term. Downgrades take effect at the start of the next Subscription Term.
4.6 No refunds. Except where expressly stated in these Terms or required by applicable law, all Fees are non-refundable and non-cancellable, and no refunds or credits will be given for partial Subscription Terms, unused documents or seats, or periods during which your account was suspended for breach.
4.7 Taxes. Fees are exclusive of Sales and Service Tax (SST) and any other applicable taxes, duties or levies, which will be added to your invoice where applicable. If you are required by law to withhold any tax, you must gross up the payment so that we receive the full amount of the Fees.
4.8 Late or failed payment. If a payment fails or is overdue, we may send you reminders and retry your payment method. If Fees remain unpaid 7 days after the due date, we may suspend your access to the Service until payment is received. Where permitted by law, overdue amounts accrue interest at 1.5% per month or the maximum rate permitted by law, whichever is lower, and you must reimburse our reasonable costs of collection.
4.9 Price changes. We may change the Fees for any Plan by giving you at least 30 days' notice before the change takes effect. Price changes apply from your next renewal. If you do not accept a price change, you may cancel before the renewal date.
4.10 Billing disputes. You must notify us in writing of any billing dispute within 30 days of the invoice date, failing which the invoice is deemed accepted.
5. Free trials and beta features
5.1 Free trials. We may offer a free trial of the Service. Unless we tell you otherwise, the trial lasts for the period stated at sign-up and gives access to the features we specify. At the end of the trial, your subscription will begin and your payment method will be charged the applicable Fees unless you cancel before the trial ends. We may modify or withdraw free trials at any time.
5.2 Beta features. We may make features labelled "beta", "preview", "early access" or similar available to you. Beta features are provided "as is", may be changed or withdrawn at any time, are not covered by any service levels or support commitments, and may be subject to additional terms. You use beta features at your own risk.
6. Licence and acceptable use
6.1 Licence to you. Subject to your compliance with the Agreement and payment of Fees, we grant you a non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Service for your internal business purposes during the Subscription Term.
6.2 Restrictions. You must not, and must not permit any User or third party to:
- copy, modify, translate or create derivative works of the Service;
- reverse engineer, decompile or disassemble the Service, or attempt to derive its source code, except to the extent this restriction is prohibited by law;
- resell, rent, lease, sublicense, distribute or provide the Service to any third party as a service bureau or otherwise, except to process the data of your own End-Clients in the ordinary course of your business;
- access the Service to build a competing product or service, or copy its features or user interface;
- circumvent or disable any usage limits, security or access controls;
- upload any material that is unlawful, infringing, defamatory, or that contains malware or malicious code;
- use the Service in violation of any applicable law, including the PDPA, anti-money-laundering laws, or export-control or sanctions laws;
- use automated means to access the Service except through our documented APIs within their rate limits; or
- interfere with or disrupt the integrity or performance of the Service or the data it contains.
6.3 Suspension for breach. We may suspend your access, in whole or in part, without liability if we reasonably believe your use breaches this Section 6 or poses a security, legal or operational risk to us, the Service or others. We will restore access once the issue is resolved, where practicable.
7. Customer Content and personal data
7.1 Ownership. As between you and us, you own all right, title and interest in your Customer Content and your Output. We claim no ownership of them.
7.2 Licence to us. You grant us a non-exclusive, worldwide licence to host, store, copy, transmit, process, display and otherwise use Customer Content and Output solely to the extent necessary to provide, maintain, secure and support the Service and to comply with the law. This licence ends when the Customer Content is deleted, except for backups retained for the periods described in the Privacy Policy and copies we must keep by law.
7.3 Your responsibility for Customer Content. You are solely responsible for your Customer Content, for its accuracy and legality, and for having all rights and permissions needed to upload and process it through the Service. You represent and warrant that:
- you have the right to upload each item of Customer Content and to have it processed as described in the Agreement;
- you have provided all notices and obtained all consents required under the PDPA (including from End-Clients and other data subjects) for us and our sub-processors to process the personal data in Customer Content, including processing by AI Features hosted in AWS infrastructure in Malaysia; and
- your use of the Service and the Output does not and will not breach any law or infringe the rights of any person.
7.4 Data protection roles. The parties acknowledge that, in respect of personal data contained in Customer Content, you are the data user and we act as a data processor processing that personal data on your behalf and on your documented instructions (which include these Terms and your configuration and use of the Service). In respect of account, billing and contact data, we are the data user. Our handling of personal data is described in the Privacy Policy.
7.5 Our obligations as data processor. When processing personal data in Customer Content on your behalf, we will:
- process it only on your documented instructions, unless required by law to do otherwise, in which case we will inform you where legally permitted;
- ensure that personnel authorised to process it are bound by confidentiality;
- implement the security measures described in the Privacy Policy;
- engage sub-processors only as described below and remain responsible for their performance;
- not transfer the personal data in Customer Content outside Malaysia (such data and its AI processing remain within AWS infrastructure in Malaysia);
- taking into account the nature of the processing, provide reasonable assistance to help you respond to data-subject requests and to meet your security, breach-notification and compliance obligations under the PDPA; and
- on termination, delete or return the personal data in Customer Content as described in Section 13 and the Privacy Policy, except for copies we must keep by law.
7.6 Sub-processors. You authorise us to engage sub-processors to process personal data in Customer Content for the purpose of providing the Service. Our current sub-processor is Amazon Web Services (cloud hosting and AI infrastructure, Asia Pacific (Malaysia) Region). (Our payment processor, Stripe, processes account and billing data but does not process Customer Content.) We will give you at least 14 days' notice before adding or replacing a sub-processor that processes Customer Content, by email or a notice within the Service, so that you may object on reasonable data-protection grounds. If you object and we cannot reasonably accommodate your objection, your sole remedy is to terminate the affected part of the Service and receive a refund of prepaid Fees for the unused portion of the Subscription Term.
7.7 No training on Customer Content. We do not use Customer Content or Output to train, retrain or fine-tune any AI model, and our AI infrastructure providers are contractually prohibited from doing so.
7.8 Aggregated data. We may create and use aggregated, anonymised or de-identified data derived from use of the Service (which does not identify you, any User or any End-Client) to operate, improve and promote the Service. This data is not Customer Content.
8. AI features, limitations and your responsibility
This Section is important. Please read it carefully.
8.1 How AI Features work. The Service uses AI Features to read documents and generate Output such as extracted fields, proposed transaction matches, account categorisations and journal entries. AI Features operate on a probabilistic basis and are assistive tools only.
8.2 AI Output may be wrong. You acknowledge and agree that AI Features can and sometimes will produce Output that is inaccurate, incomplete, outdated, inconsistent or otherwise incorrect, including misreading figures, misclassifying transactions, omitting items or "hallucinating" data that is not present in the source document. The accuracy of Output also depends on the quality, legibility and completeness of the Customer Content you provide.
8.3 No professional advice. The Service and the Output do not constitute accounting, bookkeeping, auditing, tax, legal, financial or other professional advice, and are not a substitute for the judgment of a qualified professional. We are not your accountant, auditor, tax agent or adviser. Nothing produced by the Service is certified, audited or guaranteed to comply with any accounting standard, tax law or regulatory requirement.
8.4 You are solely responsible for reviewing Output. You, and not CSV Ventures, are solely responsible for reviewing, checking, verifying and correcting all Output before relying on it, submitting it, filing it, posting it to any accounting system, or providing it to any End-Client, auditor, regulator or tax authority. You must apply your own professional judgment and maintain appropriate review and quality-control processes. You must not rely on any Output without independent verification against the underlying source documents.
8.5 Allocation of risk. You accept all risk and responsibility for any decision made, action taken, filing made or record kept based on the Output, including any consequence of using Output that you did not adequately review. To the maximum extent permitted by law, we are not liable for any loss, penalty, fine, interest, misstatement, reassessment or other consequence arising from Output that was not reviewed and verified by you, or from your reliance on Output. This allocation of risk is reflected in the Fees and in the limitations and exclusions of liability in Sections 14 and 15.
8.6 Your confirmation. By using the AI Features you confirm that you understand these limitations, that you will use the Output only as a starting point subject to your own review, and that you will not represent to any third party that the Output was independently prepared, audited or verified by us.
9. Third-party integrations and services
9.1 Integrations. The Service may let you connect Third-Party Services, such as your accounting software, to exchange data. You are responsible for your use of, and your agreements with, those Third-Party Services.
9.2 Your authorisation. When you connect a Third-Party Service, you authorise us to access, store and exchange data with it as needed to provide the integration, using the credentials or access tokens you provide or approve. You are responsible for ensuring you have the right to grant that access.
9.3 No responsibility for Third-Party Services. We do not control and are not responsible for Third-Party Services, their availability, security or accuracy, or for any act or omission of their providers. A Third-Party Service may change or discontinue its interface, which may affect an integration without liability to us. Your use of a Third-Party Service is governed by that provider's terms and privacy policy.
10. Intellectual property and feedback
10.1 Our IP. We and our licensors own all right, title and interest in and to the Service, including all software, models, algorithms, user interfaces, documentation, trade marks and the name "Krani" and "Krani.ai", and all intellectual-property rights in them. Except for the licence expressly granted in Section 6, no rights are granted to you.
10.2 Feedback. If you give us suggestions, ideas or feedback about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use it without restriction or obligation to you. We may incorporate feedback into the Service without any obligation to compensate or credit you.
11. Confidentiality
11.1 Confidential Information. "Confidential Information" means non-public information disclosed by one party to the other that is marked or should reasonably be understood to be confidential, including the Service's non-public features and pricing, your Customer Content, and the terms of any order form.
11.2 Obligations. The receiving party will use the disclosing party's Confidential Information only to perform under the Agreement, will protect it with at least reasonable care, and will not disclose it except to its personnel, advisers and contractors who need it and are bound by confidentiality obligations at least as protective.
11.3 Exceptions. Confidential Information does not include information that is or becomes public through no fault of the receiving party, was known to it without obligation before disclosure, is rightfully received from a third party without obligation, or is independently developed. A party may disclose Confidential Information if required by law or court order, provided it gives reasonable prior notice where legally permitted.
12. Availability, support, changes and suspension
12.1 Availability. We will use commercially reasonable efforts to keep the Service available but do not guarantee uninterrupted or error-free operation. The Service may be unavailable during planned maintenance (for which we will give reasonable notice where practicable) or due to events beyond our reasonable control.
12.2 Support. We provide support through the channels and during the hours described at krani.ai or in your Plan. Support requests may be sent to it@krani.ai.
12.3 Changes to the Service. We may modify, add to or discontinue features of the Service from time to time. We will not materially reduce the core functionality of a paid Plan during a Subscription Term for which you have paid without giving you notice and, if the reduction is material and detrimental to you, the option to terminate and receive a refund of prepaid Fees for the unused portion of that Subscription Term.
12.4 Suspension. In addition to Sections 4.8 and 6.3, we may suspend the Service immediately if required by law or if continued operation would create a security or legal risk. We will limit the scope and duration of any suspension to what is reasonably necessary.
13. Term, termination and effect of termination
13.1 Term. The Agreement starts when you first accept it or use the Service and continues for as long as you have an active subscription, unless terminated earlier under this Section.
13.2 Termination by you. You may terminate by cancelling your subscription, which takes effect at the end of the current Subscription Term. You may terminate immediately if we materially breach the Agreement and fail to cure the breach within 30 days of your written notice.
13.3 Termination by us. We may terminate or suspend the Agreement (a) on 30 days' notice for convenience, in which case we will refund prepaid Fees for the unused portion of the Subscription Term; (b) immediately if you materially breach the Agreement (including non-payment) and fail to cure within 14 days of notice; or (c) immediately if you become insolvent, enter liquidation or cease business.
13.4 Effect of termination. On termination, your right to access the Service ends. You should export your Customer Content and Output before termination takes effect. For a limited period after termination (not less than 30 days unless you ask us to delete sooner), we will make your Customer Content available for export where reasonably practicable.
13.5 Data retention and deletion. After the export period, we retain and then delete Customer Content and personal data in accordance with the retention periods in the Privacy Policy, including the 7-year period for accounting records, unless you request earlier deletion or we are required by law to retain specific records. You remain responsible for keeping your own copies of records you are required to retain.
13.6 Survival. Sections 2, 4 (for accrued Fees), 7.1, 8, 10, 11, 13.4–13.6, 14, 15, 16, 17 and 18 survive termination, together with any other provision that by its nature should survive.
14. Warranties and disclaimers
14.1 Mutual. Each party warrants that it has the authority to enter into the Agreement.
14.2 Disclaimer. Except as expressly stated in the Agreement, and to the maximum extent permitted by law, the Service and all Output are provided "as is" and "as available", and we disclaim all other warranties, conditions, representations and terms, whether express, implied or statutory, including any implied warranty of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, or that the Service will be uninterrupted, error-free or secure, or that Output will be accurate, complete or fit for any purpose. You acknowledge that the Service relies on AI Features whose limitations are described in Section 8.
14.3 Nothing excluded that cannot be. Nothing in the Agreement excludes or limits any warranty, right or liability that cannot be excluded or limited under applicable Malaysian law, including the Consumer Protection Act 1999 to the extent it applies.
15. Limitation of liability
15.1 Exclusion of indirect loss. To the maximum extent permitted by law, neither party is liable to the other for any indirect, incidental, special, consequential or punitive loss, or for any loss of profit, revenue, business, goodwill, anticipated savings, or loss or corruption of data, in each case whether arising in contract, tort (including negligence), breach of statutory duty or otherwise, and whether or not the party was advised of the possibility of such loss.
15.2 Cap on liability. To the maximum extent permitted by law, our total aggregate liability to you arising out of or in connection with the Agreement and the Service in any 12-month period is limited to the total Fees actually paid by you to us for the Service in the 12 months immediately before the event giving rise to the liability. For any period in which no Fees were paid (such as a free trial), our aggregate liability is limited to RM500.
15.3 AI Output. Without limiting Sections 8 and 14, and to the maximum extent permitted by law, we have no liability for any loss, penalty, fine, interest, tax reassessment, misstatement, regulatory action or other consequence arising from (a) any Output that you did not review and verify before relying on it, (b) your reliance on Output, or (c) any inaccuracy in Output. Responsibility for reviewing Output rests with you under Section 8.4.
15.4 Customer Content. We are not liable for any loss arising from the content, accuracy or legality of your Customer Content, from your failure to obtain required consents, or from your instructions to us as data processor.
15.5 Basis of the bargain. The limitations and exclusions in Sections 8, 14 and 15 reflect a reasonable allocation of risk between the parties, are a fundamental basis of the Agreement and the Fees, and apply even if a limited remedy fails of its essential purpose. They do not exclude liability that cannot be excluded by law, such as liability for death or personal injury caused by negligence or for fraud.
16. Indemnity
You will indemnify, defend and hold harmless CSV Ventures and its directors, officers, employees and agents from and against any claim, demand, action, loss, liability, damage, cost and expense (including reasonable legal fees) brought by any third party (including any End-Client, auditor, regulator or tax authority) arising out of or in connection with: (a) your Customer Content, including any allegation that it infringes rights or was processed without required consent; (b) your or your Users' breach of the Agreement or of any law, including the PDPA; (c) your use of, or reliance on, the Output, including any Output you did not adequately review; or (d) any dispute between you and an End-Client or other third party. We will notify you of the claim, allow you to control the defence (with our reasonable cooperation at your expense), and not settle any claim in a way that imposes an obligation on you without your consent, not to be unreasonably withheld.
17. Governing law and dispute resolution
17.1 Governing law. The Agreement, and any dispute or claim arising out of or in connection with it or its subject matter (including non-contractual disputes or claims), is governed by and construed in accordance with the laws of Malaysia.
17.2 Jurisdiction. The parties submit to the exclusive jurisdiction of the courts of Malaysia sitting at Kuala Lumpur to settle any such dispute or claim.
17.3 Good-faith resolution. Before commencing proceedings, the parties will first attempt in good faith to resolve any dispute through discussion between senior representatives, within 30 days of written notice of the dispute. This does not prevent either party from seeking urgent injunctive or interim relief from a court at any time.
18. General
18.1 Notices. We may give notices to you by email to the address on your account or by a notice within the Service. You must send legal notices to us at it@krani.ai and, for formal notices, to our registered address in Section 19. Notices are deemed received when sent by email (absent a delivery failure) or on delivery if sent to a physical address.
18.2 Assignment. You may not assign or transfer the Agreement without our prior written consent. We may assign the Agreement to an affiliate or in connection with a merger, acquisition or sale of assets, on notice to you.
18.3 Subcontracting. We may use subcontractors and sub-processors to perform our obligations, as described in Section 7.6, and remain responsible for their performance.
18.4 Force majeure. Neither party is liable for any delay or failure to perform (other than a payment obligation) caused by an event beyond its reasonable control, including acts of God, natural disaster, epidemic, war, civil unrest, strike, failure of utilities or telecommunications, or failure of a Third-Party Service or infrastructure provider.
18.5 Entire agreement. The Agreement is the entire agreement between the parties about the Service and supersedes all prior discussions, representations and agreements. Each party agrees that it has not relied on any statement not set out in the Agreement, but nothing limits liability for fraud.
18.6 Severability. If any provision is held invalid or unenforceable, it will be modified to the minimum extent necessary, or severed, and the remaining provisions continue in full force.
18.7 Waiver. A failure or delay in exercising any right is not a waiver of it, and no waiver is effective unless in writing.
18.8 No partnership. Nothing in the Agreement creates a partnership, joint venture, agency or employment relationship between the parties.
18.9 Third parties. A person who is not a party to the Agreement has no right to enforce any of its terms, except that the indemnified persons in Section 16 may enforce Section 16.
18.10 Electronic acceptance. You agree that clicking "I agree", creating an account or using the Service constitutes your electronic signature and acceptance of the Agreement, which is valid and binding under the Electronic Commerce Act 2006 and the Digital Signature Act 1997 of Malaysia.
18.11 Language. The Agreement is prepared in English. Any translation is provided for convenience only; the English version prevails.
